General Sales Conditions / Spectrum - Masters of Light

1. General

These General Sales Conditions govern the sale of lighting solutions, including the sale of lighting fixtures and installation services, by Spectrum - Masters of Light, operated by N-Vorm (BV). By purchasing our products and services, you agree to these terms and conditions. These terms comply with Belgian and European law.

3. Offers and Quotations

All offers and quotations provided by Spectrum - Masters of Light are custom and personal. They are valid for a period of 30 days from the date of the offer unless otherwise stated. Acceptance of an offer must be communicated in writing via email or mail.

4. Orders and Acceptance

Orders are confirmed upon receipt of written acceptance of the offer by the customer. Spectrum - Masters of Light reserves the right to refuse orders at its discretion.

5. Prices

All quotes are stated in Euros and include VAT unless otherwise stated. Prices are subject to change without notice, but such changes will not affect orders that have already been accepted. Additional costs for delivery, installation, and other services will be specified in the offer.

The VAT is added at the bottom of the offer and may vary on the type of purchase.

6. Payment Terms

Payments must be made according to the terms specified in the offer. Unless otherwise agreed, a deposit of 50% of the total amount is required upon acceptance of the offer, with the balance due upon completion of the installation or delivery of the products. Payments can be made via bank transfer to the account specified in the offer.

The payment terms for private customers: with immediate payment. Unless otherwise agreed.

The payment terms for companies: 30 days net. Unless otherwise agreed.

Any unpaid invoice shall automatically accrue interest at a rate of 10% per annum. In case of non-payment due to unwillingness and/or negligence, a default compensation of 10% shall be charged automatically, with a minimum of €50 and a maximum of €2500 excl VAT per invoice.

If the customer does not pay the invoice according to the payment terms, the seller is relieved of its obligation to deliver within the agreed period, without any right to compensation from the buyer.

7. Delivery and Installation

Delivery and installation dates are estimates and may be subject to change. Spectrum - Masters of Light will make reasonable efforts to meet the agreed delivery and installation schedules. The customer must ensure that the premises are ready for installation and that any necessary preparatory work has been completed.

The cost for installation is estimated in advance, but is not final.

Installation hours includes working hours on site, loading/unloading materials, clean-up at the work site, transport hours to/from the work site.

Depending on the type of work, the customer will take into account: installation materials, parking costs, hospitality costs and flights or public transport (if locations further than 150kilometres from Oostkaai 24B - 8900 Ypres (BE)).

Installation materials depend on the lighting and/or driver cabinets to be installed.

Installations are charged at €52.50 excl VAT/per hour (rate valid from 01/07/2024)

8. Transfer of Risk and Ownership

Risk in the products passes to the customer upon delivery. Ownership of the products remains with Spectrum - Masters of Light until full payment has been received.

9. Warranty

Spectrum - Masters of Light provides a warranty on products and installation services as specified in the offer. The warranty covers defects in materials and workmanship but does not cover damage caused by misuse, neglect, or unauthorized alterations. Warranty claims must be made in writing and supported by proof of purchase.

Ownership of the products remains with Spectrum - Masters of Light until full payment has been received. The customer can benefit from the warranty if all invoices are paid.

10. Returns and Cancellations

Custom-made products and services cannot be returned or canceled once the order has been accepted. For standard products, returns may be accepted at the discretion of Spectrum - Masters of Light, subject to a restocking fee. The customer is responsible for return shipping costs.

Restocking fee: In case of cancellation of an order for standard goods, the customer is liable for a fixed compensation of 50% of the ordered amount.

11. Liability

Spectrum - Masters of Light is not liable for any indirect, incidental, or consequential damages arising from the sale, delivery, or use of its products and services. Our liability is limited to the replacement of defective products or the refund of the purchase price.

12. Privacy

Spectrum - Masters of Light is committed to protecting your privacy. We collect and process personal data in accordance with our Privacy Policy and applicable data protection laws, including the GDPR.

13. Marketing and Photography

By accepting a quote or offer, the customer consents to Spectrum - Masters of Light taking photographs of the project before, during, and after installation for work and marketing purposes. All personal items, such as family pictures, will be edited or removed from these photographs to protect the customer's privacy.

14. Governing Law and Jurisdiction

These General Sales Conditions are governed by Belgian law. Any disputes arising from or related to these terms will be subject to the exclusive jurisdiction of the courts of Ypres, Belgium.
